Terms of Service

These Terms of Service (“Terms”) govern your use of the Grocerelle app and website (the “Services”), operated by Grocerelle, Inc. By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Who can use Grocerelle

You must be at least 13 years old to use the Services. By using them, you represent that you meet this requirement. Users between 13 and 18 should have a parent or guardian review these Terms.

2. Your account

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Please notify us immediately at support@grocerelle.com if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription and free trial

Beta notice: Grocerelle is currently in beta. Subscription billing is paused — all features are free during this period. The terms below describe how billing will work once the beta period ends.

Grocerelle is offered with a 30-day free trial. After the trial, continued access requires a paid subscription of $3.99 per month, processed through the Apple App Store. Billing, renewals, and refunds are managed by Apple under their terms; Grocerelle does not process or store your payment information. To cancel a subscription or request a refund, manage your subscription in your Apple ID account settings.

We may change subscription pricing or which features are included in the free trial or paid plan in the future with reasonable notice.

4. Your content

You own your grocery lists, recipes, meal plans, and any other content you create in Grocerelle. We claim no intellectual property rights over it.

By using the Services, you grant Grocerelle a limited license to store, display, and process your content solely to provide the Services to you. This license ends when you delete the content or close your account.

If you share a list with another user, that user will be able to see and interact with the shared content. You are responsible for what you choose to share and with whom.

When you import a recipe from a third-party website or photo, you are responsible for ensuring you have the right to use it. Grocerelle does not redistribute your imported recipes publicly.

We reserve the right to remove content that violates these Terms or applicable law, though we have no obligation to monitor content proactively.

5. Acceptable use

You agree not to use the Services to:

  • Post or transmit content that is unlawful, harmful, defamatory, obscene, or harassing.
  • Infringe the intellectual property or privacy rights of any third party.
  • Impersonate any person or entity.
  • Send spam or unsolicited communications through the Services.
  • Upload malware, viruses, or any code that could damage the Services or other users.
  • Attempt to gain unauthorized access to the Services or other users’ accounts.
  • Scrape or harvest data from the Services without our written permission.

6. Third-party services

Grocerelle integrates with Instacart by opening Instacart in an in-app browser (webview) with your cart pre-loaded. Grocerelle does not pass your personal information to Instacart directly; you are browsing Instacart’s own website within the app. Your use of Instacart is governed by Instacart’s own Terms of Service and Privacy Policy. Grocerelle is not responsible for Instacart’s actions, content, or services.

The Services may also contain links to other third-party websites or services. We do not endorse or control these and are not responsible for their content or practices.

7. Intellectual property

The Grocerelle name, logo, app design, and all other materials we provide (excluding your content) belong to Grocerelle, Inc. You may not copy, modify, distribute, or create derivative works from our materials without prior written permission. You are granted a limited, personal, non-transferable license to use the Services for your own non-commercial use.

8. AI features

Grocerelle uses AI to power several features:

  • Extracting ingredients from imported recipe URLs and photos.
  • Normalizing ingredient names, categories, and brand suggestions.
  • Suggesting how much of an ingredient to buy based on your meal plan.
  • Detecting duplicate or overlapping ingredients across your cart and suggesting smart merges.

These features send selected pieces of your content to our AI provider, Anthropic, for processing on our behalf. Anthropic does not train models on data sent through their API by default. We may use de-identified or aggregated content to refine our own ingredient recognition and suggestion logic. We do not use your content to train models for third parties, and we do not use it to profile you individually. You remain in full control of your list and can accept, reject, or ignore any AI suggestion.

9. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Grocerelle disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free. Recipe information is for personal convenience only; always verify ingredient lists and follow safe food handling practices.

10. Limitation of liability

To the fullest extent permitted by law, Grocerelle and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services. In no event shall our total liability to you exceed the amount you paid to Grocerelle in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Grocerelle and its affiliates, officers, and employees from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms.

12. Copyright complaints

If you believe content on Grocerelle infringes your copyright, please send a notice to support@grocerelle.com that includes:

  • Your name and contact information.
  • A description of the copyrighted work you believe has been infringed.
  • A description of where the infringing content appears in the Services.
  • A statement that you have a good-faith belief the use is not authorized.
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.
  • Your physical or electronic signature.

We will investigate and, where appropriate, remove the infringing content. Repeat infringers may have their accounts terminated.

13. Changes and termination

We may update these Terms at any time. If we make material changes, we will post the updated Terms and change the date above. Continued use of the Services after a change constitutes acceptance.

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. You may close your account at any time by contacting us. Sections 4, 7, 9, 10, 11, and 14 survive termination.

14. General

Governing law. These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the state and federal courts located in Albany County, New York.

Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Grocerelle regarding the Services.

Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so in the future.

Assignment. We may assign our rights under these Terms in connection with a merger or acquisition. You may not assign your rights without our consent.
